These Terms and Conditions ("Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and WellHope ("Company", "we", "us", or "our"), concerning your access to and use of the website www.wellhope.in as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Platform").

By accessing the Platform, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions.

If you do not agree with all of these Terms and Conditions, you are expressly prohibited from using the Platform and must discontinue use immediately.

ELIGIBILITY

You must be at least 18 years of age to use the Platform. If you are under the age of 18, you may only access and use the Platform with the express consent and continuous supervision of a parent or legal guardian, who must assume full responsibility for your use of the services.

By accessing or using the Platform, you affirm that you are legally competent to enter into this Agreement under applicable laws, and that you possess the mental and legal capacity to understand, accept, and be bound by these Terms and Conditions. You also confirm that you have read, understood, and agreed to all provisions set forth herein, and that your use of the Platform constitutes a binding legal contract between you and the Company.

SERVICES

• The Platform provides users access to mental health counseling and well-being support, which may include interaction with expert psychologists, counselors, therapists, and mental health professionals.
• Services may be offered via video conferencing, audio calls, and live chat.
• The services are intended for psychological support and general mental wellness. These are not a substitute for psychiatric treatment, emergency medical care, or clinical diagnosis.
• The Website allows Users to connect and interact with counsellors or other individuals ("Therapist(s)") who provide counselling and therapy services.
• Felicity uses the information provided by the user and the counsellor to match the user to the same or other relevant counsellor.
• Users can ask for the therapist platform calendar and book appointments.
• Users and Counsellors can interact via video calls, audio calls or chat messages on the website. Felicity does not share any contact details of one party with the other.
• Counsellors can make client notes on the platform and this information is saved by the website.
• Both users and counsellors can interact with Felicity customer support using the platform.

USER ACCOUNT

• To use our services, you must create an account by providing accurate personal details, including but not limited to your full name, date of birth, contact information, and emergency contact.
• You agree to keep your login credentials confidential and will be responsible for all use of your account and password.

COUNSELING SESSIONS

• Appointments must be booked in advance through the Platform.
• Each session will be conducted for a time slot as specified on the Platform and may be rescheduled only within the limits prescribed in the rescheduling policy.
• The Company reserves the right to assign, reassign, or substitute the counselor/therapist based on availability.

PAYMENT TERMS

All prices for counseling sessions and related services are listed in Indian Rupees (INR) and are inclusive of all applicable taxes as per prevailing laws. Full payment must be made in advance before availing of any counseling session or service through the Platform.

We offer direct account transfer methods for your convenience, including UPI, net banking, and digital wallets. Once a session has been completed, no refund shall be applicable under any circumstances. However, in cases where sessions have been paid for but remain unutilized, users may request a refund in accordance with our established refund policy.

Such refund requests will be reviewed on a case-by-case basis, and any refund, if granted, will be subject to deductions and conditions as outlined in the refund policy.

USER RESPONSIBILITIES

By using the Platform, you agree to use the services strictly for lawful purposes and in accordance with all applicable laws and regulations. You are expected to maintain respectful and appropriate behavior at all times during your interactions with counselors and while using any feature of the service.

You shall not, under any circumstance, harass, abuse, intimidate, or threaten counselors or any other individuals associated with the Platform. Any attempt to record sessions—whether audio, video, or otherwise—without the explicit prior consent of the counselor is strictly prohibited and may lead to immediate termination of access.

Additionally, you are not permitted to impersonate another person, misrepresent your identity, or create false accounts. The services and content provided through the Platform are intended for personal, non-commercial use only. You shall not use any part of the service to generate profit, promote your own business, or attempt to resell or distribute the services or content without prior written authorization from the Company. Any such misuse may result in legal action and termination of access.

CONFIDENTIALITY

While we are committed to maintaining the confidentiality of all counseling sessions, there are certain exceptional circumstances where disclosure of information may become necessary. These include situations where there is a risk of harm to yourself or others, such as threats of suicide, self-injury, or violence toward another person.

Confidentiality may also be breached in cases involving suspected abuse or neglect of a child, elder, or vulnerable individual, where we are legally or ethically obligated to report such incidents to relevant authorities.

Additionally, if we receive a valid court order or a statutory demand requiring the disclosure of specific information, we are legally required to comply. These exceptions are in place to ensure safety and adherence to applicable laws.

INTELLECTUAL PROPERTY

All content available on the Platform, including but not limited to logos, text, graphics, images, videos, software, and user interfaces, is the exclusive property of the Company or is used under valid license agreements.

You are strictly prohibited from copying, reproducing, distributing, modifying, publishing, displaying, performing, transmitting, or otherwise using any part of the content without prior written authorization from the Company.

DISCLAIMER OF WARRANTIES

The services offered through our platform are provided on an "as is" basis, without any warranties, guarantees, or representations regarding the accuracy, reliability, or effectiveness of the content or advice given.

The Company expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages.

TERMINATION

We reserve the right to suspend or terminate your account and access to the Platform without notice for any violation of these Terms.

CHANGES TO THE TERMS AND CONDITIONS

We reserve the right to make changes to these Terms at any time. Any such modifications will become effective immediately upon posting to the Website and your continued use of the Website and/or the Services constitutes your agreement to such modifications.

GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of India. You consent to submit to the exclusive jurisdiction of the courts located at Delhi, India.
